The Board of Directors of the Chania Cooperative Bank, pursuant to Articles 9 para. 1, 13 para. 6, 16 para. 1, and 22 para. 2.1 of the Articles of Association, in conjunction with the applicable legal provisions concerning pandemic restrictions, invites the members of the Cooperative to an Extraordinary General Assembly on Sunday, October 5th, 2025, at 10:30 a.m., at the Cooperative’s headquarters in Chania, 28–32 Eleftheriou Venizelou Street, to discuss and decide on the following items of the agenda:

AGENDA ITEMS

1. Approval of admission of new members.

2. Election of a new Board of Directors – Election of the Ballot Committee.

3. Remuneration of Board members.

In the event that, for any reason, a quorum is not achieved on the above date, the Extraordinary General Assembly will be reconvened, without further notice, on Sunday, October 12th, 2025, at the same time and place, with the same agenda items. Should a quorum again not be achieved, the Extraordinary General Assembly will be reconvened, without further notice, on Sunday, October 19th, 2025, at the same time and place, with the same agenda items. The voting for the election of a new Board of Directors will continue until 16:00 on the day of the Extraordinary Assembly.

Participation and voting rights in the Extraordinary General Assembly of October 5th, 2025, and in any subsequent reconvened meetings, are granted to the current members of the Chania Cooperative Bank, based on the Members’ Register maintained by the Bank. For items (2–3) of the agenda, participation and voting rights are also granted to new members whose admission will be approved during the convened Extraordinary General Assembly, pursuant to Article 6 para. 4 of the Articles of Association.

Individual members may participate either in person or, if they meet the requirements of Article 13 para. 6 of the Articles of Association and hold more than twenty votes, they may be represented by another partner. Legal entity members may participate in the Extraordinary General Assembly either through their legal representative, as registered in the Bank’s Members’ Register (and if such authorization has expired, by submitting any relevant certification from the competent supervisory authority), or, if they hold more than twenty votes, they may be represented by another partner upon presentation of an authorization signed by their duly authorized representative.

Any authorizations, pursuant to the Articles of Association, must be duly certified for the authenticity of the signature by a competent public authority or by the duly authorized bodies of the Bank. They must either be submitted at the Bank’s branches or sent by email to pr@chaniabank.gr no later than two days prior to the date of the Assembly (initial or reconvened), by 12:00 noon, or be submitted to the Assembly’s Secretariat before the start of the meeting.

The submission of candidacies by Cooperative members for election to the new Board of Directors, pursuant to Article 19 of the Articles of Association, must take place at the Secretariat of the Board of Directors no later than Thursday, October 2nd, 2025, at 15:00, by submitting a written application to the Cooperative’s Board of Directors. The application must be accompanied by: a) a copy of the candidate’s criminal record, and b) a solemn declaration by which the member affirms that they have full legal capacity and that none of the disqualifying conditions for eligibility set out in para. 15 of Article 19 of the Articles of Association apply to them.

The submission of candidacies concerns the election of  non-executive members of the Board of Directors. Application and solemn declaration forms will be available at the Bank’s branch network and electronically on the Bank’s website (www.chaniabank.gr).

6. Appointment of Certified Auditors for the fiscal year 2025.
7. Capital increase of the Cooperative through the issuance of new cooperative shares and authorization to the Board of Directors to determine the final offer price of the shares, the duration and any extensions of the increase, and the procedure thereof, within the framework set by the General Assembly.
8. Issuance of non-preferential registered bonds (subordinated debt instruments).
9. Approval of the acquisition by the Cooperative of shares in the companies: “KRITIKES SYMMETOCHES MONOPROSOPI A.E.E.S.”, “VIOCHYM S.A.”, “MON. AEEAP CHANION” and “INDUSTRIAL PARK OF KASTELLI PEDIADOS S.A.”
10. Approval of the merger by absorption of the subsidiary “KRITIKES SYMMETOCHES MONOPROSOPI A.E.E.S.” by the Bank.
11. Announcements – Proposals.

If, for any reason, a quorum is not achieved on the above date, the Ordinary General Assembly will be reconvened without further notice on Sunday, July 6, 2025, at the same time and place, with the same agenda items. If a quorum is still not achieved, the Assembly will be reconvened again without further notice on Sunday, July 13, 2025, at the same time and place, with the same agenda items.

Participation and voting rights in the Ordinary General Assembly of June 29, 2025, and any possible repeat sessions are granted to current members of the Chania Cooperative Bank, according to the Member Register maintained by the Bank, for agenda items (2–11), and to new members whose registration will be approved at the convened General Assembly, in accordance with Article 6 par. 4 of the Articles of Association.

Individual members may participate either in person or, if the conditions of Article 13 par. 6 of the Articles of Association are met and they hold more than twenty votes, may be represented by another member. Legal entity members may participate either through their legal representative, according to the Register held by the Bank and, if this authority has expired, by presenting appropriate proof from the competent supervisory authority; or, if they hold more than twenty votes, they may be represented by another member with authorization from their valid legal representative as described above.

Any authorizations in accordance with the Articles of Association must be duly certified for authenticity by a competent public authority or the authorized bodies of the Bank and either submitted at the Bank’s branches or sent to pr@chaniabank.gr no later than two days prior to the Assembly date (original or repeat sessions), by 12:00 noon, or submitted to the Assembly Secretariat before the start of the meeting.

The Board of Directors of the Cooperative Bank of Chania, in accordance with Articles 9(1), 13(6), 16(1), and 22(2.1) of the Articles of Association, invites the members of the Cooperative to an Ordinary General Assembly on June 30, 2024, Sunday, at 10:30 a.m. at the Cooperative’s headquarters, located at 28-32 Eleftheriou Venizelou Street, Chania, for discussion and decision-making on the following agenda items:

AGENDA

9. Approval of the Cooperative’s purchase of shares in the company “INDUSTRY OF JUICES AND WINES S.A.”

10. Approval of the Cooperative’s purchase of shares in the company “CHANIA REIC” by the Cooperative’s subsidiary, “CRETAN PROPERTIES S.A.”

11. Announcements – Proposals.

In case of a lack of quorum on the aforementioned date, the Ordinary General Assembly will reconvene, without further notice, on July 7, 2024, Sunday, at the same time and location, with the same agenda items. If there is again no quorum, the Assembly will reconvene, without further notice, on July 14, 2024, Sunday, at the same time and location, with the same agenda items.

Members of the Cooperative Bank of Chania, as recorded in the Bank’s Membership Register, have the right to participate and vote in the Ordinary General Assembly on June 30, 2024, and any repeat sessions, for the agenda items (2-11). Newly approved members, as decided at the invited General Assembly, are also eligible to participate, in accordance with Article 6(4) of the Articles of Association.

Individual members may participate either in person or, if meeting the conditions of Article 13(6) and possessing more than twenty votes, may be represented by another member. Legal entity members may participate through their legal representative, as recorded in the Bank’s Register, or, if possessing more than twenty votes, may be represented by another member with a valid authorization from their current legal representative.

Authorizations, in accordance with the statutory provisions, must be legally certified for authenticity by an authorized public authority or by Bank-appointed officers and must be either submitted at the Bank’s branches or sent to the email pr@chaniabank.gr no later than two days before the Assembly date (initial and any repeat sessions) by noon, or submitted to the Assembly’s Secretariat before the start of the session.
